StoneCreek services are steeped in the company's extensive experience as due diligence consultants to major transactions, as well as years of experience by StoneCreek principals in guiding transactions as owner representatives. We can provide not only the technical due diligence studies and process management, but also act as negotiator or in support of negotiations on behalf of ownership.

As acquisition consultants, we provide due diligence support to commercial property owners, government real estate and environmental agency staff, corporate real estate managers, lenders, real estate investment advisors, and other senior decision-makers. Our objective is always is to assemble appropriate information to support critical decision-making by our clients.

Real Estate and Hospitality Acquisitions

StoneCreek has extensive experience as due diligence consultants to client real estate acquisitions. Our knowledge of various products, from land development to vertical construction of hotels, office buildings, and retail centers, provides a solid base of experience for any particular transaction we support.

StoneCreek has also worked for client organizations, representing such organization's acquisition program interests. We have acted in this capacity for such entities as Nissho Iwai American Corp. (NIAC) and NEI Investor Group. While with predecessor organizations, the Partners of Stonecreek LLC have represented such companies as Universal Studios Recreation Group with site selection for the Universal Studios CityWalk Roll-Out Program.

Property and Site Inspections

Our inspection services cover all commercial property types, including: Office Buildings, Retail, Multi-Family Dwellings, Apartment Buildings and Complexes, Hotels, Motels, Restaurants, Industrial, Special Purpose and Senior Housing.

Prospective Joint Ventures and Partnerships

Structuring new joint ventures and partners, or facilitating the buyout of partners in existing ventures, adds additional complexity to transactions. Acting as due diligence consultants, Stonecreek LLC provides due diligence assistance to clients involves in such deals, helping with partnership agreements, joint venture documents, and special matters in connection with the structuring.

Public-Private Partnerships

StoneCreek has worked as due diligence consultants to local community redevelopment agencies, to provide due diligence and negotiations support for prospective public-private partnerships. This work has typically included agency representation in the solicitation of third-party developer interest, solicitation of proposals, evalutation and ranking of candidate proposals, and the negotiation of key deal terms with selected third-party developers.

Deal Negotiations Support

As consultants in a due diligence process, StoneCreek and its Partners often act as negotiators, or in support of negotiations, on behalf of client transactions. It is often to a client's benefit to retain such representation, so that deal points discussed at the negotations table can be preliminarily framed if not agreed, but always left "subject to approval by client." This gives obvious flexibility to achieving client's deal structuring objectives and negotiating points, in any particular negotiation.

As well, if StoneCreek is also providing support of detail queries during the due diligence process, the working results of those efforts can be quickly integrated with concessions desired during negotiations.

Property Takeover Planning

One area often overlooked during an acquisition is proper consideration of the actual takeover or possession. For a complex property, or gegraphically-dispersed portfolio, takeover planning is a major consideration. The takeover is equivalent to a pre-opening program for a newly-built property. For many takeovers following an acquisition, the difficulty is the lack of any operating history with which to confirm certain direction to on-site property personnel. The level of detail ranges from what move-in package to provide new apartment tenants, to whehver the property tax assessments should challenged for a current year. In some cases, a property takeover will be a high-profile undertaking with a local community. Proper conduct of a takeover, especially with local governmental and media relations, can be a key factor in stabilizing a property for a successful long-term hold.

Executory Contracts and Leases

As part of due diligence for property transactions, executory contracts and leases become essential information. As due diligence consultants, Stonecreek LLC views the review of such documents is more than accepting or rejection of such contracts - it is an opportunity to "step into the owner shoes" prior to closing, to determine from experienced vendors the additional items, issues, and operating problems that should be reconciled prior to closing. Executory contracts and leases typical to many real estate transactions include grounds maintenance agreements, pest control, security services, elevator service contracts, ATM vendors, hotel trade-out agreements, equipment leases, local municipal permits, and the like.
